Additional Terms and Conditions for Patent Translation

1.Application

These conditions shall form the basis of all translation work by IPPH. No variation of these terms shall be binding on the IPPH unless specifically agreed in writing by an authorized representative IPPH. These conditions shall constitute the entire contract constitute the entire contract between the parties.

 

2.Acceptance
Any translation work will remain open for acceptance for 10days after dispatch.Amendments made to the source text by the users after quotation stage may incur additional charges.

3.Completion of Work

Unless otherwise agreed translation work will be dispatched to the Client by post/courier wherever practicable.

4.Confidentiality

IPPH confirms that all material handled will be held in strictest confidence.

 

5.Prices and Payment
Payment for translation work shall be made within 30days from the date of order unless otherwise specifically agreed in writing by an authorized representative of IPPH. IPPH reserves the right to request stage payment for large contracts. IPPH also reserves the right to request full or partial payment in advance for translation work to be executed for new clients for whom a credit rating has not yet been established.
IPPH reserves the right to charge interest at the rate of 1.5% per month on all unpaid invoices. Interest ill start to accrue on the date on which payment is due and will be calculated at monthly intervals.
If an invoice for a Client is to be made out to a third party, IPPH will require written confirmation of acceptance from the third party.

6.Translation Services

Documentation and relevant reference materials should be supplied to IPPH as early as possible and in any event to arrive not less than 72 hours before the start of the assignment so that the translators have time to familiarize themselves with the specific terminology needed. No complaints regarding the quality of translation will be considered by IPPH if these materials have not been made available.
If for any reason the client cancels an assignment, the client will be charged the relevant cancellation fees as indicated in our quotation for the assignment.

 

7.Completion of Work

Should completion of translation be required sooner than the normal time required for its proper production, the client will be advised of the course of action and every effort will be made to avoid any defects, but reasonable allowance must be made by the client in such cases. Should such completion of translation work necessitate overtime being worked or other additional costs being incurred, a pre-agreed charge will be made to cover such costs.
IPPH accepts no liability for the consequences of any delay in completion of translation work caused by the client and, in such event, any agreed deadlines or delivery schedules will automatically cease to be valid and new dates must be negotiated.
Unless otherwise agreed translation will be dispatched to the client by post/courier wherever practicable.


8.Cancellation

If the client for any reason postpones for a period of 10 days or more, or cancels translation work which he has commissioned, charges will be payable for all completed work up the cancellation or postponement date and for all other costs and expenses which may accrue as a result of such cancellation or postponement.

 

9.Liability

The Client undertakes to notify any complaint in respect of any translation work to IPPH in writing within 15 days of the receipt of the translation work. IPPH's liability shall be limited to the amount of the contract price for the translation work.
The Client shall indemnify IPPH against all claims, proceedings, costs and expenses for which IPPH may become liable in respect of translation work completed under the contract.
IPPH and Client agree that any disagreements about the quality of the translation work shall be referred to an arbitrator to be appointed by the parties.

 

10.IPPH 's Obligations

IPPH shall not disclose or distribute to a third party any private information of Client which came to knowledge of IPPH in relation to provision of Service without their approval and shall faithfully comply with the privacy policy. Provided. However, that this shall not apply if any national authority demands such information pursuant to the Framework Act on Telecommunications and other acts or if such information is demanded for investigation on crime, by the information and Communications Morals Committee or in the procedures provided by any other laws and regulations.
IPPH shall maintain the facilities for Service which are installed in IPPH in an appropriate status to allow steady provision of the Service, and if the facilities for the Service are out of order or are worn out, IPPH shall notify the Client of the reasons and the schedule of handling.
IPPH shall immediately handle any opinion or dissatisfaction raised by a Client, which is acknowledged objective and fair, through proper procedures. However, if immediate handling is troublesome, IPPH shall notify the Client of the reasons and the schedule of handling.

 

11.Client's Property

All documents, paper or other property supplied to IPPH by the Client will be held or dealt with by IPPH at the Client's risk and IPPH will not be responsible for the consequences of any loss or damage thereto.
IPPH reserves the right to destroy or otherwise dispose of any document, paper or other property of the Client which has been in its custody for more than 3 months following completion of the translation work to which it relates.

 

12.Refund

Any refund shall be transmitted to an account designated by the user after having confirmed of being the user.

 

13.Force Majeure

In the event of Force Majeure (which shall be strike. Fire, industrial dispute, civil commotion, natural disaster, acts of war and any other situation which can be shown to have materially affected IPPH's ability to undertake and complete the translation work as agreed), IPPH shall notify the Client immediately, indicating the circumstances. Force Majeure shall entitle both IPPH and the Client to withdraw from the contract for the translation work but in any event, the Client undertakes to pay IPPH for translation work already completed. IPPH will assist the Client to the best of its ability to place the translation work elsewhere. IPPH cannot accept any liability for the consequences of any delay in completion or delivery of translation work as a result of Force Majeure.

 

14.Jurisdiction
These conditions shall be interpreted in accordance with Chinese law and IPPH and Client irrevocably to the non-exclusive jurisdiction of the Chinese Courts.
